HAVE to purchase it from you?? NO.
Hope they'd be interested in purchasing it from you? Yes.
If your registration pre-dates their TM, that certainly works in your favor. However, things that you do or do not do can possibly bolster their case (as a potential Complainant), as well. This is all assuming there IS a TM, or one pending. I simply wanted to point out the fact that you might be wise to research this further, and potentially seek legal advice/negotiator.

1Bill appears to be free and clear of any TM infringements according to USPTO.gov.

it is just that I have been reading negative replies and no one likes to be compared to other people..I am on here in earnest to get real advise and figure out my best course of action...I have no idea why people reply when they have nothing usefull to add but sarcasim..
this is not directed towards you mastmnds..I just want to make it a little clearer where I stand..so with that said...any good input that will help me get top buck for 1Bill.com would be appreciated..
